LGB Brass constitution
Title
1. The
name of the band shall be the “Lewes, Glynde and Beddingham Brass
Band” and shall be known as” LGB Brass”( herinafter referred to as
‘the Band”).
Objectives
2. The Band is established to promote
the practice and performance of brass band music by way of concerts or
otherwise, and to assist charitable or non-profit making institutions.
3. The Band shall endeavour to teach
and train young people and inexperienced players in the practice and
performance of brass band music to enable them to progress and
contribute more fully in the Band’s activities.
Band
Committee
4.
The
Committee shall consist of a Chairman, Secretary, Treasurer, Librarian
and three other members who shall be playing members of the Band. Four
shall be a quorum for a Committee Meeting. Any vacancy occurring in
the Committee during the year may be filled by the Committee and the
Committee shall also have the power to co-opt additional members.

The artistic direction of the
Band shall be in the hands of the Musical Director with the approval
of the Committee.
6. The
Committee shall have the power to establish sub-committees and shall
appoint members of those sub-committees, who need not be elected
members of the Committee.
7. The
Chairman of the Committee shall be the Chairman of any sub-committee.
Band Property and Financial Arrangements
8. The income and properties of the
Band however derived, after payment of expenses as approved by the
Committee, shall be applied solely towards the promotion of the
objects of the Band as defined in this Constitution. No portions shall
be paid or transferred directly or indirectly by way of dividend,
bonus or otherwise, as profit to members of the Band.
9. The ownership of the whole of the
instruments, music, uniforms and other property belonging to the Band
shall be vested in the hands of three Trustees who shall be the
Chairman, Secretary and Treasurer of the Band.
10. In the event that it is necessary
for the Trustees, Officers or members of the Band to sign guarantees,
leases, or other documents on behalf of the Band, with the approval of
the Committee, such Trustees, Officers or members shall be
indemnified to the extent of the assets of the Band.
11. In the event of the dissolution of
the Band, the property of the Band and any balance of funds remaining
after the payment of all proper debts and expenses, shall be devoted
to objects similar to those of the Band as the Committee may, at their
discretion, determine.
12. The Band’s financial year shall be
from the first day of January to the thirty-first day of December.
Annual
and Extraordinary General Meetings
13.
Annual General Meeting shall be held not later than the last day of
February each year to transact the business of the Band, to receive a
report of the year’s activities and to elect the Committee, a
President and any Vice Presidents.
14. All
members of the Committee will retire at the end of each year, but
shall be eligible for re-election. The retiring Committee shall
remain in office until the new Committee is elected.
15. Only members who have fully paid
any subscription(s) which fell due in the preceding year shall be
eligible for election to the Committee.
16. At General Meetings, the following
only shall be entitled to vote:
17. The Treasurer shall submit at each
Annual General Meeting of the Band, a financial statement of the
affairs of the Band, the correctness of which, being duly certified by
an honorary auditor nominated by the Committee.
18. The retiring Chairman shall conduct
the whole of the Annual General Meeting, and in his/her absence, the
meeting shall be conducted by the Secretary.
19. Extraordinary General Meetings may
be called by the Committee or by a written requisition, signed by not
less than six members, and given to the Chairman or Secretary.
20. Fourteen days notice of all General
Meetings, stating the object of the meeting, shall be given to all
members. The quorum at a General Meeting shall be 50% of the voting
members of the Band.
21. The Annual General Meeting may
elect Honorary Members and Honorary Life Members who need not be
playing members of the Band.
Band Membership Rules
22.
Members are expected to co-operate loyally in the aims and activities
of the Band. Regular attendance at rehearsals and performances is
required. Unavoidable absences from performances should be reported
to the Secretary as early as possible prior to the performance.
23. At public performances, all members
shall be dressed as recommended by the Committee.
24. On
joining the Band, a member shall sign for any item of uniform,
instrument or other Band property provided for his/her use.
25. Any
member leaving the Band shall hand over any Band property in his/her
possession, to the Secretary.
26. All members are responsible for
loss or damage to Band property whilst in their possession, fair wear
and tear excepted.
27. The Committee may, for good and
sufficient reason, call upon any member to resign from the Band, but
only after that member has exercised their right to be heard by the
Committee, should they so desire.
28.
Subscription (s) must be paid by all members no later than eight weeks
following the Annual General Meeting. They shall be payable in such
manner and amounts as shall be decided at each Annual General Meeting.
29. The
Band shall not be responsible to any member for any personal property
lost or damaged, or for personal injury sustained by a member whilst
undertaking any Band duties or attending rehearsals.
30.
These rules can be altered only
at a General Meeting.
31. The Secretary shall give each
member a copy of these rules.
